Very simply, the overhead
Very simply, the overhead involved with running an association will be difficult to maintain. It takes time and resources, both of which are in short supply. We have a hard enough time planning camps and meetups... very few people will be excited about keeping an association in good standing.
Why not use Koumbit?
I've been lurking on this group for a few months, and followed the discussions concerning organization of DC Montreal, and one of the difficulties encountered in getting broad support from sponsors, and even securing a venue for the event seems to be the lack of a structured organization. I agree that setting up an association requires much effort to get it up and running, but once that's done, if the association's reason for being is only to organize annual events, then overhead can be kept to a minimum.
Before going ahead and incorporating an association legally, I would recommend you approach Koumbit. They are already incorporated as a non-profit organization, and are strongly committed to the Drupal community. Their structure already provides for individual memberships. I don't see why the DC organizers couldn't work within that structure. Of course, I'm fairly new to the community and don't know the "political landscape" very well, so I suppose there may be different "camps" and schools of thought that clash, so I apologize in advance if I've ruffled any feathers in making this suggestion ;-)
Things to keep in mind if you go ahead and incorporate (and you'll need to have this stuff in hand at your initial assembly):
1-You'll need to register the corporation and establish corporate by-laws. More info:

2-You'll need liability insurance (personally, I wouldn't get involved as an administrator of any non-profit without at least minimal liability coverage for administrators). You can secure relatively inexpensive liability coverage with http://www.associationsquebec.qc.ca/
Like I said before, I think Koumbit would be a very appropriate place for this association to exist, and that would be my first choice. Up to you folks to decide. UNfortunately, I'll be away on vacation that week, so I won't be able to participate.

Hi, skidz, and thanks for the sign of confidence in Koumbit. Yes, we're a non-profit, but we don't have the resources to take on running Drupal Camp as you suggest. We're happy to keep participating in the local Drupal community, but even if we had the time to run local camps it doesn't make sense to us for just one local 'shop' to run these. Also, registering as a non-profit took a lot of time and effort for us, and I don't think anyone here is ready to take the lead on doing that process again.
That said, xmacinfo has talked about another structure which isn't the same as a non-profit but can still hold assets, like surplus from an event, so hopefully something like that is feasible here.
I won't personally be able to attend this meeting, but if you need people to be legal owners or signatories for a bank account or something, I'd be open to discussing this further.

I didn't suggest that Koumbit and it's current membership assume additional tasks, but rather that those who organize DC to do it under the Koumbit umbrella. A DC Committee could be set up under the auspicees of Koumbit, or something of the sort. Anyways, I guess we'll let those who want to get things going do their thing :-)

I agree that it will be time consuming enterprise. At the very least it will end up being a significant amount of time spent by the X members of the organization's governing body. I went through a similar process when Foulab was set up and feel that I have pretty good handle on what's involved.
This commitment of time has come up repeatedly in our recent discussions. Despite this, a number of people from shops around the city have expressed an interest in participating.
Here's my two cents about why we need this organization:

I have a prior commitment between 6 and 7 already. How about we host this next week, same place, Tuesday night, at 6 PM. I really want to make sure that nobody who wants to participate gets left behind.
On whether this is useful or not: enough people think that it is, and are willing to contribute, to make statements to the effect that it is useless and too time-consuming self-contradictory. Mirabuck outlined some excellent reasons above, and I'll add the following:
Have a welcoming organization for growing companies to join. We were lucky to have EvolvingWeb and Koumbit pitch in early on in an open and welcoming fashion to get the Camps moving forward, and to find so many willing contributors willing to pitch in as well. I think this is possible not only because of the values these people hold but also because of the abundance that is created by the Drupal economy. As companies grow, and as competition increases from here and abroad, having a neutral organization that is not aligned with specific competitive interests (whether it be mine or that of others) will ensure that these great values are carried forward for the benefit of all concerned.
Institutional memory is key. A lot of time spent last year around the DC planning was in rehashing prior discussions and refining the process of organization. This year, in far fewer meetings a lot of the key points have been quickly agreed upon. This is experience kicking in. There should be a point at which we collect this experience in permanent memory forms that will survive the coming and going of individual participants. One of the key virtues of institutions is to provide institutional memory that can survive through cycles that are longer than that of the memory of individual participants. This is why for example trade associations, specialized art schools (read about the Bauhaus schools, or about Bateau Lavoir in Paris where Picasso, Matisse, Utrillo and countless others found a place to congregate and create artistic movements that survived individual genres and periods, for excellent examples of that), or governmental structures exist around long-term projects.
No-one will ever argue that the maintenance costs of such institutions exist, but a point of view which exclusively looks at cost independent of value is doomed to be self-defeating. Everything has a cost. Not everything has value. In this instance enough people believe that the value far outweigh the costs to make this a valuable and constructive enterprise. It will move forward.

Voici une mise à jour sur les développements de
notre dernière rencontre. Une association Drupal
locale a été créée afin de gérer les fonds et
l'organisation du DrupalCamp et d'événements
connexes. Les membres initiaux du Conseil d'administration sont:
Une Assemblée Générale, où les membres pourront
nommer et élire les membres du Conseil, sera
tenue avant le 6 juin 2012. Les droits exigibles
pour devenir membre seront de $10 et le
recrutement sera ouvert dès qu'une infrastructure
appropriée sera en place. L'Association s'engage
par ailleurs à mettre en place une telle
infrastructure à temps pour l'inscription au prochain DrupalCamp.

A quick update regarding this meeting. A local Drupal Association has
been formed to handle funds and organization related to Drupalcamp and
other local events. The initial board members are:
A General Assembly will be held before July 6th, 2012 wherein association
members will nominate and elect association members to these positions.
Association membership will cost $10.00 and be open to the public once
appropriate infrastructure is in place. The association has made a
commitment to have such infrastructure in place in time for upcoming
Drupalcamp registrations.
